If they sued early on in the script stage, then Warners would just say "oops", scrap the project, and pay a minor fine. By waiting until now, Fox can either get a piece of the action, or a major payment from Warners who, after investing this much time and money into the project, will want to do anything to get the movie released so they can make some money back.

A dark superman film could really show off the purity and nobleness of the Superman character, assuming the "dark" applies to the atmosphere and wold that Superman inhabits, and not Superman himself.
Imagine the contrast if you have a dark gritty Metropolis where people don't care about anyone else. Muggers abounds. The streets are trashy. Murders are on the rise. Think New York circa the 70's.
Now Kal-el decides to step in and show the humans there's another way to live. This way he'd be an exampple of someone doing what's needed to clean up society and an example of how people shuld live their lives.
This would allow filmakers to explore themes of messiah complex, bringing hope to those that don't have it. It would make for an even starker contrast against Batman. Because that's what's so interesting about Superman and Batman. They are two people who decided to clean up their respective cities, yet they each chose a different way to do it. So with the batman movies, we have a dark atmophere and a hero who is also consumed by the darkness and harnesses it. A dark superman movie would allow for a dark city with a hero who resists the darkness and shows a different, purer way to go.
That would allow for a Superman vs Batman movie later.
If you want to make Superman really stand out, you need to play up his wholesome, good natured, law abiding, paragon of Right nature. That would be even more evident against the background of a corrupt city.
